Terms of Service.

These Terms of Service govern your use of vyra.clinic, vyra.health, and the services we offer through them.

1. Acceptance

By accessing or using vyra.clinic, vyra.health, or any service we offer through them, you agree to these Terms of Service and to our Privacy & HIPAA Notice and SMS Terms. If you do not agree, please do not use the site or our services.

2. Who We Are

vyra.clinic and vyra.health are operated by VYRA Management, Inc., a California corporation, and VYRA Medical Corporation, a California Professional Medical Corporation that delivers all clinical services. Both are located at 3430 Fifth Avenue, San Diego, California 92103.

3. Eligibility

You must be at least 18 years old and located in the United States to use our services. Certain treatments have additional eligibility criteria that will be reviewed during your medical intake. You may use the site on behalf of a minor only if you are the parent or legal guardian.

4. Not Medical Advice; No Provider Relationship via Website

The content on this site is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Reading our site, submitting a form, or sending us a message does not by itself create a physician-patient relationship. A clinical relationship begins only after we have completed your intake, a licensed clinician has evaluated you, and you have been formally accepted as a patient. If you are experiencing a medical emergency, call 911.

5. Telehealth Scope

Telehealth services are offered only to patients physically located in states where our clinicians are licensed at the time of the visit. At launch, that is California. Some treatments — including injectables, infusions, and any controlled substance — require an in-person visit and cannot be initiated by telehealth alone. We will tell you up-front whether your situation is appropriate for telehealth.

6. Booking, Deposits & Cancellations

Some appointments require a credit-card hold or refundable deposit at the time of booking. We ask for at least 24 hours' notice to reschedule or cancel without charge. Late cancellations and no-shows may forfeit the deposit or be charged a fee equal to a portion of the scheduled service, disclosed at the time of booking. We waive these charges in genuine emergencies.

7. Membership

Membership benefits, billing cycles, and cancellation rules are described on the Membership page and in the membership agreement you sign at enrollment. The membership agreement controls if there is any conflict with general site language.

8. Pricing, Payment & Taxes

Prices shown on the site are in U.S. dollars and may change. The price that applies to your visit is the price quoted at booking and confirmed at check-out. We accept major credit and debit cards, HSA/FSA cards where eligible, and approved financing partners. Applicable taxes are added at check-out.

9. Refunds

Services already rendered are generally non-refundable. Pre-paid packages, memberships, and product purchases are governed by the specific terms presented at the time of purchase. We will always work in good faith to resolve concerns — please contact us first.

10. Your Account & Accurate Information

You agree to provide accurate, current, and complete information during intake, booking, and every subsequent visit, and to keep that information updated. You are responsible for maintaining the confidentiality of any account credentials, secure-portal logins, or one-time codes we provide, and for activity that occurs under them.

11. Intellectual Property

The VYRA name, logo, wordmark, site design, photography, copy, and all other materials on the site are owned by VYRA or our licensors and are protected by U.S. and international intellectual-property laws. You may view and print pages for personal, non-commercial use. You may not copy, redistribute, modify, scrape, or use our materials for any commercial purpose without our written permission.

12. Your Submissions

If you send us testimonials, photographs, reviews, or other content, you confirm you have the right to do so and grant VYRA a non-exclusive, royalty-free, worldwide license to use, display, and reproduce that content in connection with our practice. We will not publish before-and-after photographs or identifiable images without a separate written release.

13. Prohibited Conduct

You agree not to use the site or our services to: violate any law; infringe anyone's rights; submit false or misleading information; harass our clinicians, staff, or other patients; attempt to access accounts, systems, or data that are not yours; introduce malware; scrape or harvest data; or interfere with the operation of the site.

14. Third-Party Links & Services

Our site may link to third-party websites or services (such as financing partners, scheduling platforms, or pharmacies). VYRA does not control and is not responsible for the content, privacy practices, or terms of those third parties. Your dealings with them are between you and them.

15. Disclaimers

The site is provided "as is" and "as available." VYRA Management, Inc. disclaims all warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure. Nothing in this section limits any non-waivable warranty that applies to clinical care provided by VYRA Medical Corporation under California law.

16. Limitation of Liability

To the fullest extent permitted by law, VYRA Management, Inc. and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the site, even if advised of the possibility. Our total aggregate liability for claims related to the site (excluding clinical care) will not exceed the amount you paid us in the twelve months preceding the claim, or one hundred U.S. dollars, whichever is greater. Some jurisdictions do not allow these limitations, so they may not fully apply to you. Nothing in these Terms limits liability for clinical malpractice, gross negligence, willful misconduct, or any liability that cannot be limited by law.

17. Indemnification

You agree to defend, indemnify, and hold VYRA harmless from any claims, damages, and costs (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the site, or your violation of any law or third-party right.

18. Dispute Resolution

We hope to resolve any concern informally — please contact us first. If a dispute remains, you and VYRA agree to attempt good-faith negotiation for at least 30 days before initiating formal proceedings. This section does not apply to professional medical liability claims, which are governed by California law and any separately signed arbitration agreement entered into at the start of care.

19. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to Section 18, the exclusive venue for any dispute arising under these Terms is the state and federal courts located in San Diego County, California, and you consent to personal jurisdiction there.

20. Severability & Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy & HIPAA Notice, SMS Terms, and any signed clinical or membership agreements, constitute the entire agreement between you and VYRA regarding the site and supersede prior agreements on that subject.

21. Assignment

You may not assign these Terms without our written consent. VYRA may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

22. Changes

We may update these Terms from time to time. The current version always lives at vyra.clinic, with the effective date below. Material changes will be communicated through the site or by direct notice when appropriate. Your continued use of the site after changes take effect constitutes acceptance.
